MINUTES OF MEETING OF ANNUAL GENERAL MEETING WILLIAMSBURG SETTLEMENT MAINTENANCE ASSOCIATION, INC. APRIL 17, 2007
The Annual Meeting of Members of Williamsburg Settlement Maintenance Association, Inc. was held on Tuesday, April 17, 2007 at 1602 Hoyt, Katy, Texas 77449 at 7:00 p.m.

Directors in attendance were Don McClelland, Dave Ellis, Sue Dean Smith, Patrick Sammon, Linda Moore and Lance Gordon. Also in attendance representing Planned Community Management Inc. was Dolores Sue.

A quorum was qualified by representation in person and/or by proxy of 127.

The Board President served as chairperson and called the meeting to order at 7:00p.m.

The first item on the agenda was the election of two (2) Directors to the Board. There was one (1) name on the official ballot, Linda Moore, incumbent and a write in vote for Clifford Johnson. Mr. Johnson was not in attendance. The floor was opened for nominations. There were no nominations from the floor, a motion was made, seconded and unanimously approved to close nominations from the floor and call for the vote. A motion was made from the floor to elect the two people on the ballot by acclamation; it was seconded and unanimously approved.  Therefore, the new Board members are Linda Moore and Clifford Johnson, each will serve a three (3) year term.

The next item on the agenda was a review of the Association financials. The 2006 financial report was presented showing the actual expenses incurred as compared with the budget for that year. There were questions and answers on the financials. A vote is required annually to roll over the excess income if any, for the benefit of IRS rulings. Upon a motion duly made, seconded and unanimously approved by the Members, it was:

RESOLVED, that any excess assessments for the taxable year 2007, that
are over and above the actual expenses paid or incurred for said year, shall
be applied to the following year’s assessments for operating expenses.

Community Operations Update / Open Forum –  There was a general question and answer session in regard to trash pick up, the Board had been approached by the trash company that perhaps the increase would be less if the days were moved to Wednesday/Saturday pickup. A resident present did not want the days to change. This resident stated that on weekends there are a lot of lawn clippings, garage sale trash and they do not want it to sit until Wednesday.  Further this resident did not want the trash truck in the subdivision on Saturday. The Board explained it was just a suggestion and just an avenue the Board was reviewing to cut costs in the neighborhood.

Another resident asked about what could be done about people not keeping their dogs on leashes. The Board explained that the constable is giving one (1) warning for a dog not on a leash and the second time, the pet owner is written a citation.

There was some concern about two (2) vacant homes in the neighborhood.

There being no further business the meeting was adjourned at 7:32 p.m.
